These Terms of Service (“Terms”) govern your access to and use of the website at specoplabs.com (the “Site”) and any purchase of products offered by Spec Op Labs, operated by Spec Op Labs LLC, a limited liability company organized under the laws of the State of Delaware (“Spec Op Labs,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to these Terms and all policies incorporated by reference, including our Privacy Policy, Refund & Return Policy, and Shipping Policy. If you do not agree, do not use the Site or purchase any product.
1. Eligibility & Purchaser Qualifications
The Site and our products are intended solely for qualified researchers and laboratory professionals. By placing an order, you represent and warrant that:
- You are at least twenty-one (21) years of age;
- You are a qualified researcher, laboratory professional, or authorized purchasing agent for a research, academic, or commercial laboratory;
- You possess the training, facilities, and equipment necessary to handle, store, use, and dispose of chemical reagents safely and lawfully;
- You are acquiring products exclusively for lawful in-vitro research, laboratory, or analytical purposes; and
- All information you provide is accurate and complete.
We reserve the right to request documentation verifying your status and to refuse, limit, or cancel any order at our sole discretion.
2. Nature of Products — For Research Use Only
By purchasing from us, you acknowledge and agree that our products:
- Are NOT intended for human or animal consumption, ingestion, injection, inhalation, topical application, or any form of administration;
- Are NOT drugs, dietary supplements, foods, beverages, cosmetics, or medical devices;
- Are NOT intended to diagnose, treat, cure, mitigate, or prevent any condition, and no medical, clinical, therapeutic, or diagnostic use is authorized or implied;
- Have not been evaluated or approved by any government agency for consumer, clinical, or household use; and
- Are intended solely for use by qualified professionals in a controlled laboratory setting for lawful in-vitro research.
Any use outside the scope described in these Terms is strictly prohibited, is undertaken entirely at your own risk, and constitutes a material breach of these Terms.
3. Assumption of Risk
You assume full and exclusive responsibility for, and all risk arising from, the receipt, handling, storage, labeling, transport, use, and disposal of any product. You are solely responsible for reviewing appropriate safety data and laboratory protocols before handling any product, providing adequate protective equipment and facilities, ensuring proper storage upon receipt, and disposing of products and materials in accordance with all applicable environmental, health, and safety requirements.
4. Compliance With Laws
It is your sole responsibility to determine whether the purchase, possession, use, handling, storage, transfer, export, and disposal of any product is lawful in your jurisdiction, and to comply with all applicable federal, state, local, and international laws, regulations, and institutional requirements. We make no representation that any product is appropriate, permitted, or available for use in any particular location.
5. Prohibited Uses
You agree that you will not, and will not permit any third party to:
- Use, market, resell, repackage, or distribute any product for human or animal consumption or for any medical, therapeutic, diagnostic, food, supplement, or cosmetic purpose;
- Use any product in a manner that violates any applicable law, regulation, or third-party right;
- Misrepresent the nature, status, or intended use of any product;
- Resell or transfer any product to any person who is under 21, unqualified, or who intends an unlawful or non-research use; or
- Interfere with the operation or security of the Site or attempt unauthorized access.
6. Ordering, Pricing & Payment
All orders are offers to purchase and are subject to acceptance by us. We may refuse, limit, or cancel any order at our discretion, including where we suspect a violation of these Terms, an unlawful or non-research use, a pricing or descriptive error, or a payment or verification problem. Prices, availability, and specifications are subject to change without notice. Payment is processed by a third-party payment processor; by submitting payment information you authorize the applicable charges and agree to the processor’s terms. You are responsible for any applicable taxes.
7. Disclaimer of Warranties
To the maximum extent permitted by law, all products and the Site are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Product descriptions, specifications, and images are provided for general reference only and may contain errors or omissions.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Spec Op Labs, Spec Op Labs LLC, or their respective members, managers, officers, employees, affiliates, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to these Terms, the Site, or any product, under any legal theory, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these Terms, the Site, and any product shall not exceed the amount actually paid by you for the specific product giving rise to the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless Spec Op Labs, Spec Op Labs LLC, and their respective members, managers, officers, employees, affiliates, agents, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use, misuse, handling, storage, transfer, resale, or disposal of any product; (b) your breach of these Terms or any representation or warranty you make; (c) your violation of any applicable law or third-party right; or (d) any use of a product for human or animal consumption or for any medical, therapeutic, food, supplement, or cosmetic purpose. This obligation survives termination.
10. Intellectual Property
The Site and its contents, including text, graphics, logos, product names, trademarks, images, and the “Spec Op Labs” brand, together with their selection and arrangement, are owned by or licensed to Spec Op Labs LLC and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any portion of the Site without our prior written consent.
11. Modification of Terms
We may revise these Terms at any time. When we do, we will update the “Last Updated” date above and post the revised Terms on the Site. Your continued use of the Site or placement of an order after changes are posted constitutes acceptance of the revised Terms.
12. Governing Law & Venue
These Terms and any dispute arising out of or relating to them, the Site, or any product shall be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration shall be the state and federal courts located in Sussex County, Delaware, and you consent to the personal jurisdiction of those courts.
13. Severability & Entire Agreement
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Site and products.
